Constitution of the Milford Band Boosters Article I: Name Section one: This organization shall be known as the MILFORD BAND BOOSTERS (hereinafter known as the organization). Article II: Purpose Section one: The purpose of the Milford Band Boosters shall be to cooperate with school officials in securing uniforms and appropriate instrumentation; to sponsor the activities of the Milford Bands; to improve public relations; to promote better student, parent, teacher communications; and to carry on those activities which are in the best interest of the bands and in accordance with school policies. Further, it is the purpose of the organization to obtain funds or income in connection with said activities. The term Milford Bands is herein defined as all bands in the Milford School System, and includes instrumental sections, color guard, and any other such complementary sections. Article III: Membership Section one: Membership in this organization shall be open to any interested person. Article IV: Officers Section one: The elected officers of this organization shall consist of a President, Vice President of B.O.A. Vice President of Ways and Means, Vice President of Guard, Vice President of Drumline, Secretary, Treasurer, and Delegate at Large. Article V: Regular Meetings Section one: Regular meetings of this organization shall be held as provided in the by-laws. Article VI: Election of Officers Section one: ELECTION: Election of the officers shall be held at the regular April meeting, at which time nominations may be made from the floor. Any paid member shall be qualified to vote. Section two: NOMINATING COMMITTEE: The President shall appoint a nominating committee at the regular January meeting. The nominating committee shall consist of three (3) persons. This committee shall report its nominations at the regular March meeting. Section three: BALLOT: The election shall be by open ballot in the case of one nominee. In the case of multiple nominees a closed ballot shall be required. Section four: NO CANDIDATE RECEIVING A MAJORITY: In the case of more than two nominees for any one office with no candidate receiving a majority, the two candidates receiving the highest number of votes will compete for a majority in a second ballot. Section five: TERM OF OFFICE: The term of office shall be one year, and no elected officer shall serve more than two (2) consecutive terms. Each officer shall assume his/her office at the completion of the May meeting. Section six: VACANCY: In the event a vacancy occurs in the office of president, the Vice President of B.O.A. shall assume the duties of the office for the remainder of the term of office. In the event a vacancy occurs among the other offices of this organization, the executive committee shall appoint a person from the membership to fill the unexpired term. Article VII: Executive Committee Section one: NUMBER, CHAIRPERSONS, and ADVISORS: The Executive Committee shall consist of the eight (8) elected officers of the organization, the immediate past President and the chairpersons of all permanent committees. The President shall act as the chairperson of the Executive Committee. The Band Directors shall act as advisors of this organization and shall be ex-officio members of the Executive Committee. Section two: DUTIES: The duties of the executive committee shall be:
Section three: LIMITATION OF EXPENDITURES: The executive committee may not authorize any single unbudgeted expenditure in excess of fifty dollars ($50.00) without specific approval of the membership. Section four: MEETINGS: Meetings of the executive committee shall be held prior to regular meetings of the organization. Seven members of the executive committee consisting of at least three elected officers constitute a quorum to conduct business. The President may call special meetings upon the request of any three (3) members or as deemed necessary by the President or the Band Directors at any time after reasonable notice 24 hours minimum) to the members of the executive committee. Article VIII: Finances Section one: Upon the dissolution of this organization, the treasurer shall, after paying or making provisions for the payment of all liabilities of the organization remit all remaining funds to the Band Fund. Article IX: Amendments Section one: POWERS OF MEMBERS TO AMEND THIS CONSTITUTION: This Constitution may be amended, repealed added to or a new Constitution may be adopted by a two-thirds (2/3) majority of the voting members in attendance at any regular meeting. Any such change must have been presented in writing and read orally at a previous regular meeting of the organization.
